Terms of Service

Welcome to Synapsell.ai, a service provided by H3T Sp. z o.o., a company registered in Poland ("H3T", "we", "our", or "us"). These Terms of Service ("Terms", or "ToS") govern your access to and use of the Synapsell.ai platform, including our chatbot, analytics tools, and any associated data services (collectively, the "Service").

By registering an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Eligibility

You must be at least 18 years old and have full legal capacity to enter into a binding agreement. By registering for the Service, you represent and warrant that you meet these requirements.

2. Service description

Synapsell.ai provides a virtual assistant (chatbot) and data analytics tools based on information collected from publicly accessible online sources, including e-commerce platforms and marketplaces. All data is collected through methods compliant with applicable laws and regulations.
The Service is currently offered free of charge, but this may change as outlined in Section 6.

3. Account registration

To use the Service, you must create an account by providing accurate and up-to-date information. When registering, you must:

• Accept these Terms of Service and the Privacy Policy,
• Maintain the confidentiality of your login credentials,
• Be responsible for all activities conducted through your account.

Providing consent for marketing communications is voluntary and separate from accepting these Terms, and is governed by the Privacy Policy prepared in accordance with RODO (Regulation (EU) 2016/679 as applicable in Poland).

4. Marketing communications

During registration or later in your account settings, you may choose to opt-in to receive marketing communications about updates, features, or commercial offers related to Synapsell.ai.
Consent to marketing communications is optional, can be withdrawn at any time, and does not affect your use of the Service.

5. Use of the service

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service,
• Access or use the Service or data in any way that violates any applicable law or infringes the rights of others,
• Use any robot, spider, or other automated means to access the Service without our prior written permission.

We reserve the right to monitor your use of the Service and to take action to protect the integrity and security of our platform.

6. Pricing and payment terms

Currently, the Service is provided free of charge.
However, H3T reserves the right to introduce fees for the Service in the future, including subscription fees, usage-based fees, or premium features. In the event of such changes:

• You will be notified in advance of any applicable fees,
• You will have the option to accept the new pricing terms,
• Continued use of the Service will constitute acceptance of the new terms,
• If you do not accept the new pricing or fail to pay, your access to the Service may be suspended or terminated.

We are under no obligation to continue offering the Service free of charge.

7. Suspension and termination

We may suspend or terminate your account or access to the Service at any time, with or without notice, including but not limited to:

• Your failure to comply with these Terms,
• Non-payment of any applicable fees (if introduced),
• Business decisions to discontinue, suspend, or modify the Service.

Upon termination, your right to use the Service will immediately cease, and all data associated with your account may be deleted in accordance with our Privacy Policy.

8. Demo account disclaimer

If you are granted access to a demo or trial account, you understand and agree that:

• The demo account is provided at our sole discretion and may be modified, suspended, or terminated at any time without notice,
• H3T does not guarantee uninterrupted access, availability, or support for demo users,
• Continued access to the Service may require a transition to a paid plan once pricing is introduced.

9. Ownership and intellectual property

All intellectual property rights in the Service and its content, including but not limited to data, text, software, designs, and trademarks, are owned by H3T or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal purposes only. You may not sublicense, resell, distribute, or otherwise exploit the Service without prior written consent from H3T.

10. Privacy and data protection

Your use of the Service is subject to our Privacy Policy, which explains how we collect, process, and protect your personal data in accordance with RODO (Regulation (EU) 2016/679 as implemented in Poland).
You acknowledge and agree that by using the Service, your personal data may be processed as described in our Privacy Policy.

11. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. H3T does not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of responsibility for use of data

You acknowledge that the Service provides analytical data, insights, and recommendations that are intended for informational purposes only.
H3T does not guarantee the accuracy, completeness, or suitability of any output or recommendation generated by the Service. You are solely responsible for verifying and applying any data in your own decision-making processes.
To the maximum extent permitted by applicable law, H3T shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or in connection with your use of the Service. We shall not be liable for any business decisions, financial losses, or damages resulting from your use of the Service or reliance on its output.

13. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Poland.
Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts competent for Gdynia, Poland.

14. Changes to the terms

We may update these Terms at any time. If changes are material, we will notify you via the Service or by email. Continued use of the Service after the effective date of any updated Terms constitutes acceptance of those Terms.
If you do not agree to the updated Terms, you must discontinue your use of the Service.
